RA’ Ra’anana, Israel, 7 December 2011 – NICE (NASDAQ: NICE) today announced that it has signed an agreement to acquire Merced Systems, leader in management solutions performance in sales and customer service. The acquisition of Merced emphasizes the commitment of NICE provide customers the best program, leader of market, analytical solutions and workforce optimization. By virtue of the terms of the agreement, NICE buy mercy by a total compensation of approximately $150 million, net of cash acquired. In addition, NICE pay mercy up to $20 million in cash subject to mercy meets certain performance goals. Subject to certain conditions and the satisfaction of terms, the transaction is scheduled for the middle of the first quarter of 2012. The company expects that mercy added approximately $55 million in 2012 income not adjusted to GAAP in the United Statuesque., with a large part of the income that occur in the fourth quarter and add approximately $0.10 per share to the fully diluted EPS non-adjusted GAAP 2012. NICE hopes the acquisition will be a dilution effect of $0.02-$0.03 with fully diluted EPS not adjusted according to GAAP in the first quarter of 2012.
