RA’ Ra’anana, Israel, 7 December 2011 – NICE (NASDAQ: NICE) today announced that it has signed an agreement to acquire Merced Systems, leader in management solutions performance in sales and customer service. The acquisition of Merced emphasizes the commitment of NICE provide customers the best program, leader of market, analytical solutions and workforce optimization. Solutions excellent Merced, available in the client server and models of Software as a service and hosted on the server of the provider, include care performance management to the Merced client, which provides analysis and boards of performance, customer service training, incentive management and generation of reports in real time to the care team to the client of the company.
It also includes performance management in Merced sales with the management of quotas and incentives, analysis and dashboards, performance, development and training in sales, and other analytical solutions. Merced solutions have been selected by leading companies worldwide to improve productivity, increase revenue, and increase customer satisfaction. Merced client list includes, among others, Bell Canada, British Gas, Co-Op Bank, Coca Cola, Dell, Delta Air lines, Dish Networks, Kaiser Permanent, Liberty Mutual, O2, Sprint, T-Mobile and Venison. The integration capabilities of Merced and NICE creates a closed-loop performance management solution. The inclusion of capabilities such as analysis of interaction and feedback from the client in real time in traditional data sources provide perceptions and performance measurement more exact. These perceptions then are inserted in other NICE solutions, such as training and the exclusive orientation to the agent in real-time to allow organizations to ensure continuous improvement in the performance of the agent and customer-centered processes.

By virtue of the terms of the agreement, NICE buy mercy by a total compensation of approximately $150 million, net of cash acquired. In addition, NICE pay mercy up to $20 million in cash subject to mercy meets certain performance goals. Subject to certain conditions and the satisfaction of terms, the transaction is scheduled for the middle of the first quarter of 2012. The company expects that mercy added approximately $55 million in 2012 income not adjusted to GAAP in the United Statuesque., with a large part of the income that occur in the fourth quarter and add approximately $0.10 per share to the fully diluted EPS non-adjusted GAAP 2012. NICE hopes the acquisition will be a dilution effect of $0.02-$0.03 with fully diluted EPS not adjusted according to GAAP in the first quarter of 2012.
